Privacy Agreement his Privacy Agreement governing the processing of personal data by DOer Technologies.
Personal Data any information relating to an identified or identifiable natural person, in accordance with Article 4 of the GDPR.
Client a business entity that enters into an agreement with DOer Technologies for the use of the Solution.
Customer an end-user who utilizes the Client’s services through the Solution.
Processor DOer Technologies, which processes personal data on behalf of the Client.
Subprocessor any third-party entity engaged by DOer Technologies to process personal data on behalf of the Client.
Solution the SaaS-based IT solution provided by DOer Technologies under the applicable service agreement.
GDPR Regulation (EU) 2016/679 on the protection of natural persons with regard to the processing of personal data.
Processing any operation performed on personal data, including collection, storage, modification, and deletion.
DOer Technologies processes personal data solely for the purpose of providing the Solution to the Client.
Personal data may be processed for account management, security, service improvement, and legal compliance.
DOer Technologies shall not use personal data for any unauthorized purposes.
The Client acts as the Data Controller and retains responsibility for ensuring lawful data collection.
DOer Technologies acts as the Data Processor and ensures compliance with applicable data protection laws.
DOer Technologies commits to implementing appropriate security measures to protect personal data from unauthorized access, loss, or alteration.
DOer Technologies shall notify the Client without undue delay in case of a data breach affecting personal data.
Data subjects have the right to request access, rectification, or deletion of their personal data.
Data subjects may request restriction of processing or object to certain types of data processing.
Requests related to data subject rights shall be addressed to the Client, who is responsible for handling such requests with DOer Technologies’ assistance.
DOer Technologies may engage subprocessors only with the Client’s prior consent.
Subprocessors shall be contractually bound to provide the same level of data protection as DOer Technologies.
If data is transferred outside the European Economic Area (EEA), appropriate safeguards, such as Standard Contractual Clauses, shall be implemented.
DOer Technologies retains personal data only for as long as necessary to fulfill the contractual obligations.
Upon termination of services, personal data shall be securely deleted or returned to the Client upon request, unless further retention is required by law.
DOer Technologies employs technical and organizational measures to protect personal data against unauthorized processing, loss, or damage.
Security measures include data encryption, access controls, and regular security assessments.
Employees and subcontractors of DOer Technologies are bound by confidentiality obligations.
DOer Technologies shall provide the Client with relevant information to demonstrate compliance with this Privacy Agreement.
The Client may conduct audits, including inspections, upon reasonable notice and subject to confidentiality obligations.
If any non-compliance is identified, DOer Technologies shall take corrective actions within a reasonable timeframe.
This Privacy Agreement is governed by the applicable data protection laws of the United Arab Emirates.
Any disputes shall be resolved amicably or, if necessary, by a competent court in the jurisdiction of DOer Technologies.
This Privacy Agreement forms an integral part of the service agreement between DOer Technologies and the Client.
Any modifications to this Agreement shall be mutually agreed upon in writing.
In the event of any inconsistency between this Agreement and the service agreement, this Agreement shall prevail concerning data protection matters.
All intellectual property rights related to the Solution, including but not limited to software, designs, logos, trademarks, and documentation, are and shall remain the exclusive property of the Service Provider.
The Client may not copy, reproduce, or create derivative works based on any part of the Solution without explicit written consent from the Service Provider.
Both parties agree to maintain the confidentiality of all Confidential Information exchanged during the course of the engagement.
Confidential Information may not be disclosed to any third party without prior written consent, except as required by law.
These Service Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.
Any disputes arising out of or relating to these Service Terms shall be subject to the exclusive jurisdiction of the courts of the UAE.
The parties agree to attempt to resolve any disputes amicably before resorting to legal action.
